Terms of service

These terms are between Infinite Ventures LLC ("Bayline", "we") and the business that signs up ("you" or the "Shop"). By using Bayline you agree to them.
2. The service
Bayline provides an AI phone and text assistant, appointment booking, confirmations and reminders, and a staff app for your shop. Bayline works alongside your estimating system and does not write estimates.
3. Fees, billing and cancellation
Fees are as agreed in your order. For the founding pilot that is a $750 setup fee, $750 for the first 30 live days, and then $1,250 a month per location. Service is month to month. You can cancel at any time before the next month starts, and the cancellation takes effect at the end of the current month. Fees already paid are not refunded unless we agree otherwise in writing.
Your plan includes a monthly allowance of texts and AI conversations. We do not charge for use beyond the allowance without your approval.
4. Your responsibilities
- Give us accurate hours, calendar availability and business information
- Obtain and keep valid consent before customers are texted, and honor opt-outs
- Follow the laws that apply to your calls and messages, including telemarketing and text-messaging rules
- Keep your staff logins secure and tell us about any unauthorized use
5. What the AI does and does not do
The assistant identifies itself as an automated assistant. It is designed not to quote prices it was not given, not to say what insurance covers, and not to promise completion dates, and to hand those questions to your staff. AI can make mistakes. You are responsible for reviewing bookings, replies and decisions made in your shop's name.
6. Your data
Your shop's data belongs to you. We use it only to provide and improve the service, as described in our privacy policy. Your data is kept separate from other shops' data, and if you cancel, we will export it for you on request for a reasonable period.
7. Acceptable use
Do not use Bayline to send spam or marketing texts without consent, to break the law, or to interfere with the service or other shops.
8. Third-party services
Bayline relies on carriers and other providers to deliver calls and messages. We are not responsible for their outages or for delayed or undelivered messages.
9. Disclaimers and limits
The service is provided "as is." To the extent the law allows, we disclaim implied warranties, and our total liability for any claim is limited to the fees you paid in the three months before the claim. Neither party is liable for indirect or consequential damages, including lost profits.
10. Ending the service
Either party may end the service at the end of a month. We may suspend service right away for non-payment or for misuse that puts other users or carriers at risk.
11. Governing law
These terms are governed by the laws of the State of Nevada. Any dispute will be heard in the state or federal courts located in Clark County, Nevada.
